ARSCOR DESIGN PATTERNBANK STANDARD LICENSE AGREEMENT

IMPORTANT NOTICE: Please read this License Agreement carefully before purchasing or downloading any pattern or design (the “Designs”) from ARSCOR Design Patternbank (“Designer,” “Licensor,” “we,” “us”). By completing a purchase and/or downloading a Design, you (“Buyer” or “Licensee”) agree to be bound by the terms of this Agreement. If you do not agree, do not purchase or download any Designs.
DEFINITIONS

1. DEFINITIONS

  • “Design(s)”: Pattern graphics, artwork, or surface designs, provided in any digital file formats, including all metadata.
  • “Human Touch Collection”: Designs 100% hand-made by the Designer, no AI involved.
  • “AI Vision Collection”: Designs that contain AI-generated elements, processed, edited and finalized by human artistic input.
  • “License Fee”: Fee paid for license to use a Design.
  • “Licensed Design”: The specific Design(s) you have paid for and received rights to use, subject to license type (Non-exclusive/Exclusive).

2. LICENSE GRANT

  • 2.1. Subject to payment of the License Fee and strict compliance with this Agreement, Licensor grants to Buyer a limited, non-transferable, non-sublicensable license to use the Licensed Design in accordance with the purchased license type (Personal, Commercial up to 500 units/metres, or Commercial Unlimited).
  • 2.2. Exclusivity: Exclusive licenses are sold once and the relevant Design will be removed from sale after purchase. Non-exclusive licenses may be sold to multiple Buyers.
  • 2.3. Use Rights: See Addendum I for permitted uses and restrictions.
  • 2.4. Audit Rights: Designer may, no more than once per year, request documentary proof of sales/production quantities, which Buyer must provide within 14 days. If Buyer exceeds the permitted usage volume without correct upgrade, license is automatically terminated and Buyer owes Licensor 3x License Fee as penalty.

3. ARTIFICIAL INTELLIGENCE DISCLOSURE

  • 3.1. Designs in the “Human Touch Collection” contain NO AI-generated content.
  • 3.2. Designs in the “AI Vision Collection” are partially AI-assisted but substantially modified and finalized by human input.
  • 3.3. LICENSOR MAKES NO WARRANTY as to copyright protection for Designs in AI Vision Collection in any jurisdiction. Buyer is solely responsible for compliance with relevant AI-disclosure laws (e.g., EU AI Act, California AI Transparency Act), including labeling requirements for downstream products.

4. WARRANTIES & LIMITATIONS OF LIABILITY

  • 4.1. Designer warrants that, to the best of their knowledge, all Human Touch Designs are original and do not infringe third-party intellectual property. No other warranties (including fitness for buyer’s purpose, compatibilities, or suitability) are made.
  • 4.2. All AI Vision Designs are provided with NO WARRANTY regarding originality, copyright ownership, or legal protection outside of what current law recognizes for AI-assisted works.
  • 4.3. In all cases, Designer’s maximum liability for any claim under this Agreement is limited to the total License Fee received for that specific Design. Designer accepts NO liability for production costs, lost profits, indirect damages, third-party legal claims, or regulatory fines arising from Buyer’s use or marketing of Licensed Design.
  • 4.4. Files must be inspected by Buyer for technical defects within 7 days of delivery; any claims after this period are void.

5. INDEMNIFICATION

  1. 5.1. The Buyer agrees to indemnify, defend, and hold harmless the Designer from all losses, damages, and expenses (including legal fees) arising from:
  • Any commercial or marketing use of the Licensed Design by Buyer;
  • Buyer’s modification or combination of the Design with other content;
  • Buyer’s failure to comply with applicable law (including AI-content disclosure laws);
  • Buyer’s breach of usage limits, reselling, or unauthorized distribution;
  • Any claims involving Buyer’s downstream products using the Licensed Design.

6. USAGE RESTRICTIONS & PENALTIES

  1. 6.1. Buyer may NOT:
  • Resell, redistribute, or share the digital files (JPG, TIFF, PSD, etc.) in any form;
  • Upload the Designs to print-on-demand or digital platforms for third-party use/access;
  • Remove or alter watermarks, copyright notices or metadata;
  • Use the Designs to create derivative PNGs, SVGs, or vector products to sell as digital downloads;
  • Present AI Vision Designs as 100% human-created art;
  • Register Designs as trademark/logo without written consent of the Designer.

6.2. Violation is grounds for immediate termination and liquidated damages of up to $10,000 per incident, in addition to 3x License Fee.

7. REFUNDS, CHARGEBACKS, DELIVERY

  • 7.1. ALL SALES ARE FINAL once the digital file is downloaded or delivered.
  • 7.2. No refunds for change-of-mind or incompatibility with buyer’s equipment/software.
  • 7.3. If chargeback is initiated after download, such action is considered fraud and Buyer will be liable for recovery plus costs.

8. TERMINATION

8.1. This license automatically terminates upon violation of usage restrictions, exceeding volume limits, or chargeback. Upon termination, Buyer must cease all use and destroy all files/copies. All accrued damages remain due.

9. FILE INTEGRITY AND SECURITY

  • 9.1. All design files include embedded metadata with Designer copyright information.
  • 9.2. Preview images contain watermarks; non-watermarked files provided only after payment.
  • 9.3. Buyer may not remove/strip metadata or watermarks. Violation = $5,000 penalty per file.

10. JURISDICTION

  • 10.1. This agreement is governed by the laws of [Jurisdiction, e.g. Germany, USA, or Seller’s state/country].
  • 10.2. Buyer and Designer agree to resolve all disputes by binding arbitration in [City/Arbitration Center], in [Language], under [Arbitration Rules].

11. ENTIRE AGREEMENT/SEVERABILITY


This Agreement is the entire and exclusive understanding between Buyer and Arscor Design Patternbank. If any provision is unenforceable, the remainder remains in effect.

ADDENDUM I. PERMITTED & PROHIBITED USES (summary table)

  • Personal License: Digital portfolio, website mockups, moodboards — NO physical products
  • Commercial (up to 500 units): Textiles, fabric, wallpaper, physical items up to 500 pcs (lifetime)
  • Commercial (Unlimited): Unlimited production for physical end products
  • Prohibited: Resale/distribution of source files; inclusion in digital pattern packs; use in hate/offensive/unlawful contexts; tokenizing NFTs; AI-based mashups
